PickChance Vendor Services Agreement

By registering on "PickChance" and using the "services" provided, you ("vendor") agree to the following terms and conditions, along with any policies and guidelines referenced here or elsewhere on "PickChance."

Agreement Updates

Right to Amend: "PickChance" reserves the right to modify this agreement or any related policies and guidelines at any time, for any reason.
Changes will be posted on "PickChance" and/or communicated to you directly.
Vendor Responsibility: It is the vendor's responsibility to stay informed of these updates. Continuing to use "PickChance" and its services
after changes have been made constitutes acceptance of the new terms.

PickChance Services

1. Providing an online system for vendors ("product providers") and customers to conduct transactions.
2. Supplying vendors with necessary technical tools, including order management, payment mechanisms, and customer service.

Vendor Responsibilities

1. Provide necessary documents (e.g., business license, passport, ID) as required by PickChance.

2. Accurately list products for sale on PickChance.

3. Confirm product availability and readiness for shipment upon order.

4. Handle all after-sales services, including repairs or replacements, as per the vendor's warranty

5. Avoid including promotional materials or additional customer information in product packages.

6. Package products properly to prevent damage during shipping.


Vendor Declarations

1. Confirm product availability within 24 hours to a maximum of 3 days after receiving an order

2. Bear the cost of all after-sales services, including repairs or replacements.

3. Adhere to the return policy: products can be returned within 48 hours of delivery (up to one week for fashion items).

4. Assume legal responsibility for all issues related to products sold on PickChance.

Region
The vendor must be registered in the country where they use PickChance to offer and sell products.
Sales Process

1. Vendor lists products on PickChance

2. Customer places an order.

3. Vendor is notified of the new order.

4. Vendor confirms the order

5. Product is picked up by the shipping company.

6. Product is delivered to the customer.

7. Vendor receives payment as per the agreement with PickChance.



1. Vendor Obligations
Vendors must:

1.1 Provide accurate documentation and product information as required by "PickChance.

1.3 Comply with after-sales service obligations, including repairs and replacements.


1.4 Avoid including unauthorized promotional materials in shipments.


1.5 Package products securely to avoid damage during transit.

2. Vendor Warranties

The vendor guarantees:


2.1 Legal authority to sell and promote products on "PickChance."
2.2 Availability of spare parts or accessories during the warranty period (if applicable).
2.3 Immediate notification to "PickChance" of any significant changes affecting the vendor’s ability to fulfill this agreement.


3. Fees and Payments

3.1 All fees are paid in the local currency of the vendor's country.
3.2 Fees and payment conditions may vary, so vendors should verify them regularly.
3.3 Payment to the vendor is made only after successful delivery of products and the end of the return period.

4. Return Policy and Complaints

4.1 Vendors must comply with "PickChance's" return policy.
4.2 No commission is charged to vendors for returned products.
4.3 Vendors must inspect and accept returned products within 24 hours.
4.3 "PickChance" may modify its return policy as necessary to comply with local laws or at its discretion.

5. PickChance's Role

"PickChance" provides a platform for vendors and customers to conduct transactions but is not involved in the actual sale. Vendors are responsible for complying with all applicable laws and regulations.

6. Registration and Security

6.1 Vendors must provide accurate registration details and maintain the security of their accounts.

6.2 Vendors are responsible for any actions taken under their account.

7. Vendor Transactions

8. Product Integrity

Vendors must ensure that all products listed and sold on "PickChance" are genuine.

9. Confidentiality
Both parties must maintain the confidentiality of all business and technical information acquired through this agreement.

10. Compensation and Liability

The vendor agrees to indemnify "PickChance" against any claims, legal actions, or losses arising from the vendor’s actions or negligence.

11. Dispute Resolution

"PickChance" is not responsible for resolving disputes between vendors and customers.

12. Monitoring and Enforcement

"PickChance" reserves the right to monitor vendor activity and take appropriate action, including suspending or terminating accounts.

13. Information Disclosure
"PickChance" may disclose information as required by law or to protect the integrity of its platform.

14. Termination

"PickChance" may terminate this agreement or restrict access to its services at any time without prior notice.

15. General Terms

15.1 Independent Contractors: The relationship between "PickChance" and the vendor is that of independent contractors.

15.2 Entire Agreement: This agreement constitutes the entire agreement between the parties.

15.3 Severability: If any provision of this agreement is deemed invalid, the remaining provisions remain in effect.

15.4 Assignment: Vendors may not assign their rights or obligations under this agreement without prior approval from "PickChance."


15.5 Waiver: "PickChance" may enforce its rights at any time, and failure to do so does not constitute a waiver.


PickChance is not considered a congregation for any of its rights or compensation available to her and mentioned in this "agreement" unless this concession is written and signed by the commissioner to sign its highest. There is no delay or default by PickChance in the exercise of her rights or compensation available to her as an obstacle or explanation as a concession. The individual or partial practice of the right or corrective process is not another exercise of any of the rights or other corrective operations. The failure of PickChance to apply the firm performance of any of the paragraphs of this agreement does not represent a waiver of its right to apply this paragraph later or any other paragraphs of this "agreement".
